1. Commercial Scope & Contract Agreement
These Commercial Terms and Conditions ("Terms") govern all price quotations, proforma invoices, sales orders, mill purchase contracts, and supply agreements entered into by Rajshree Infinity (OPC) Private Limited ("Company," "Seller," "we") with any corporate client, corrugated packaging converter, printing press, institutional buyer, or distributor ("Buyer," "Purchaser").
Submission of a formal Purchase Order (PO), written confirmation via email/WhatsApp, or remittance of advance payment shall constitute full, unconditional acceptance of these Terms, superseding any contrary clauses in the Purchaser's documentation unless mutually signed in writing.
2. Quotation Validity & Market Price Adjustments
- Quotation Validity Window: Official written quotations issued by Rajshree Infinity remain firm and valid for 7 calendar days from the date of issue, unless explicitly agreed otherwise.
- Pulp & Raw Material Indexing: Paper reel prices are indexed to prevailing domestic and international unbleached softwood/hardwood pulp and waste kraft recovery rates. Unconfirmed orders after validity expiry are subject to market revisions.
- Applicable Taxes & Levies: All basic rates quoted are exclusive of Goods and Services Tax (GST - 12% or 18% based on HSN Code), entry taxes, transit insurance, and freight unless explicitly indicated as FOR Destination or CIF.
3. Minimum Order Quantities (MOQ) & Mill Batch Runs
To optimize deckle utilization and high-speed rotary converting lines, standard MOQs apply:

4. Quality Control, GSM Tolerances & Testing Norms
All paper manufacturing, rewinding, and converting processes follow strict ISO 9001:2015 standards and TAPPI / BIS testing parameters:
- GSM (Grammage) Variation: Variations within ±5% of the specified target GSM are commercially standard and accepted across the paper converting industry.
- Burst Factor (BF) & Tear Index: Burst Factor ratings (14 BF – 28 BF) are tested at standard atmospheric conditions (27°C ± 2°C and 65% ± 2% RH).
- Moisture & Cobb Values: Delivered reels maintain a balanced moisture content between 6.5% to 8.5%. Cobb values are calibrated for optimal starch glue absorption on automatic corrugators.
- Shade Variations: Because recycled Kraft paper uses eco-friendly unbleached fibers, slight natural shade variations between separate pulp batches shall not constitute defective material.
5. Custom Reel Slitting, Core Sizes & Packaging
- Slitting Tolerances: Rotary slitting is maintained within a precision tolerance of ±2 mm reel width.
- Standard Cores: Heavy-duty spirally wound paper cores are provided in standard 3 inches (76 mm) or 6 inches (152 mm) inner diameter.
- Protective Wrapping: All export and domestic reels are multi-layer Kraft shrink-wrapped with edge protectors and moisture barriers for rough transit handling.
6. Payment Terms, Commercial Credit & Overdue Interest
- Standard Advance Terms: New orders and non-credit transactions require 100% RTGS/NEFT remittance prior to factory gate dispatch.
- Corporate Credit Facilities: Verified, audited converters and corporate accounts with formal credit agreements must adhere strictly to agreed 15, 30, or 45-day settlement cycles.
- Overdue Commercial Interest: Invoices remaining unpaid past their due date shall accrue commercial interest at the rate of 18% per annum calculated on a daily basis from the due date until realization.
7. Dispatch, Delivery Terms & Transit Risk Transfer
Unless expressly contracted as FOR Destination, all sales are on an Ex-Works (Depot/Plant) basis. Risk of loss, damage, moisture exposure, or transport delay transfers to the Buyer immediately upon cargo loading and carrier handover at our plant dispatch dock. Buyers are advised to maintain comprehensive Marine/Transit insurance.
8. Quality Inspection, Discrepancy Reporting & Defect Claims
- Physical Transit Inspection: The Buyer must examine reel seals and outer packaging upon truck arrival. Any transit tear, water damage, or reel count discrepancy must be endorsed on the transporter's consignment note (LR) and communicated to us within 48 hours.
- Technical Quality Claims: Complaints regarding GSM variation, Cobb value deviation, or low Burst Factor must be lodged in writing within 7 calendar days of receipt, accompanied by batch test logs and representative swatch samples.
- Retention of Defective Material: Suspect reels must remain in their original unwound condition with mill batch labels intact for joint inspection. Converted, slit, or consumed material cannot be claimed for credit.
9. Limitation of Liability & Consequential Damages
Under no circumstances shall Rajshree Infinity be liable for any indirect, incidental, special, or consequential damages, including loss of production time, machine idle costs, lost profits, or penalty clauses from downstream third parties.
Our maximum financial liability for any proven defective batch shall be strictly capped at the net invoice value of the specific non-conforming goods, fulfilled via replacement delivery or commercial credit note.
10. Force Majeure
Neither party shall be held in breach of contract for delayed performance caused by circumstances beyond reasonable control, including acts of God, flood, fire, industrial lockouts, national grid power failures, raw material mill shutdowns, or statutory governmental restrictions.
11. Governing Law, Arbitration & Legal Jurisdiction
All commercial transactions, purchase orders, and legal agreements shall be governed by and interpreted under the laws of the Republic of India.
In the event of any commercial dispute that cannot be resolved through amicable executive negotiation, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The competent courts in Ahmedabad, Gujarat / Nashik, Maharashtra, India shall have exclusive legal jurisdiction.
